Mars Report Terms of Service

Welcome to Mars Report.

To use Mars Report software (“the Software”) and related services, you must read and comply with these Terms of Service (“these Terms”). Please read them carefully, especially clauses on authorisation, limitation or exclusion of liability, governing law and dispute resolution.

When you follow the registration steps, read these Terms and the Privacy Policy, and tap “Agree”, you enter into an agreement with the Company and accept both documents in full.

This English text is a convenience translation of the Chinese Terms of Service. If there is any inconsistency, the Chinese version prevails.

Important:

If you are under 18, please read these Terms together with a parent or legal guardian, and register only after they have agreed.

1. Definitions

1.1 User: a person who downloads, registers, signs in to or uses Mars Report through the website, mobile apps, PC software or other means. In these Terms, “you”.

1.2 Shanghai Mingjiao Technology Co., Ltd.: the publisher and operator of Mars Report, in these Terms “the Company”.

1.3 Mars Report software: a collaboration tool designed for shipping and logistics field handover.

2. Parties

These Terms are between you (anyone who uses Mars Report through the website, mobile apps, PC software or other means) and Shanghai Mingjiao Technology Co., Ltd. (上海明焦科技有限公司), the publisher and operator of the Software.

3. Accounts

3.1 Registration

After you follow the registration steps, read these Terms and the Privacy Policy, tap “Agree” and complete registration, you obtain a Mars Report account and become a user.

You must provide true, accurate, complete and current identity and related information, and update it when it changes. The Company is not liable for problems caused by untrue or outdated registration information.

Account name, avatar and profile must not contain illegal or harmful content, impersonate others, register on another person’s behalf without permission, or use a name that may infringe others’ rights (including trade marks and reputation). Otherwise the Company may refuse registration, suspend the service, cancel the registration or reclaim the account. You bear any resulting legal and economic consequences.

3.2 Account security

A Mars Report account consists of an identifier and a password. After registration we identify you by identity elements, which may include your name, account name, password, SMS code, mobile number, ID number and facial information.

You may sign in with the account name you set (username, mobile number or email) and password. To protect the account we may use additional verification depending on the device and how you use it — for example a password plus SMS code on first sign-in from a new device. Methods include SMS codes and verification based on service-use information.

3.3 Ownership

Registered accounts remain the Company’s property. After registration you have a right to use the account only. Because the account is tied to personal use information, you may not transfer, sell or lend the right of use except as required by mandatory law or with the Company’s written consent. You bear all losses arising from a breach.

3.4 Recovery

If you lose access for reasons on your side, follow the recovery process and provide true, lawful and valid information. The Company may refuse recovery if the information does not meet the requirements.

3.5 Inactive accounts

To avoid unused resources, the Company may reclaim an account that has not been signed in to for more than 12 consecutive months after registration.

3.6 Closure

If you close the account, the Company may immediately delete all related content and information.

5.1 To improve the experience and the service, the Company will continue to develop new features and may provide updates (replacement, modification, enhancement or version upgrades).

5.2 To improve the experience and keep security and features consistent, the Company may update the Software or change or limit some features. Automatic updates are on by default.

5.3 After a new version is released, the Company does not guarantee that older versions will remain usable or that related services will continue. Please keep the Software up to date.

6. The service

The service under these Terms is a reporting tool that helps you carry out shipping and logistics field cargo handover and on-site monitoring from different devices.

When using Mars Report and related services you must comply with the Cybersecurity Law of the People’s Republic of China and other applicable laws. You must not use Mars Report for any illegal or improper activity.

8. Disclaimers

To the extent permitted by law, the Company is not liable for interruption or obstruction caused by:

You understand that, given the nature of the internet, personal information and materials you share while using Mars Report may be copied, republished or otherwise used unlawfully by others. You accept that risk yourself.

You are solely responsible for any consequences of content you publish while using Mars Report.

The Company may change, suspend or stop part or all of the service in light of overall operation of the Software.

8.5 Deletion of data

When you stop using the Software and service, or the service is terminated or cancelled, the Company will permanently delete your data from the servers to protect your personal information. After deletion the Company has no obligation to return any data and is not liable in that respect.

8.6 Technical limits

The Company will use reasonable efforts to provide the service, but cannot guarantee that it is free of defects, or that it can always foresee and prevent interruptions, data loss and other risks arising from technology. If a defect cannot be avoided given the state of technology at the time, the Company is not liable for resulting loss.

9. Intellectual property

9.1 The Company owns the intellectual property in Mars Report. Copyright, trade marks, patents, know-how and all related content (including text, images, audio, video, graphics, interface design, layout, data and electronic documents) are protected by the laws of the People’s Republic of China and applicable international treaties, and belong to the Company.

9.2 Without the Company’s written consent you may not, yourself or through others, exploit or transfer that intellectual property for any commercial or non-commercial purpose. The Company reserves the right to pursue legal remedies.

10. Third-party technology or services

10.1 The Software may use third-party software or technology (including open-source and public-domain code) under lawful authorisation.

10.2 Where it does, the Company will present the relevant licences or other documents as required by law or contract — for example as annexes to these Terms or in a folder in the installer. Those documents form part of these Terms and have the same effect. You must comply with them.

10.3 Disputes arising from third-party software or technology are for that third party to resolve; the Company is not liable. The Company does not provide support for third-party software or technology; contact the third party if you need it.

11. Termination

11.1 Either party may terminate these Terms if force majeure makes it impossible for you to continue using Mars Report or for the Company to provide the service.

11.2 The Company may terminate these Terms unilaterally if you breach them.

12. Changes to these Terms

As the service develops, we may amend these Terms and the Privacy Policy. We will announce the new version on the official website (www.mars-report.com) for 7 days. After that announcement the new version takes effect and replaces the previous one. If you disagree, stop using the Software and service immediately. Continued use or any activity on the website means you accept the new Terms and policy.

13. Notices

Rules, notices, prompts and announcements related to these Terms may be sent by website announcement, on-page notice, email or SMS. They take effect and bind you once sent or published. If you do not accept them, tell us in writing; otherwise you are deemed to have agreed.

14. Effect

14.1 These Terms bind both parties from the moment you tap “Agree” during registration.

14.2 The Mars Report Privacy Policy and related rules, announcements, prompts and notices form part of these Terms and have the same effect.

14.3 If any clause or part of a clause is or becomes invalid, the rest of these Terms remains in effect.

15. Governing law and disputes

15.1 The formation, validity, interpretation, performance and dispute resolution of these Terms, the Privacy Policy and related documents are governed by the laws of mainland China currently in force.

15.2 Any dispute arising out of or relating to these Terms, the Privacy Policy or related documents shall first be settled by friendly consultation. If it is not settled within thirty days, it shall be submitted to the People’s Court of Pudong New Area, Shanghai.
